General conditions and terms of delivery

‘meereffect’ is an activity and registered trademark of Meereffect B.V.

1. Meereffect B.V. reserves the right to cancel an open course if there are too few registrations or when confronted with force majeure, for example acute illness of the coach(es). Participants who already registered will be given the choice to either follow the course on an alternative date or to receive full restitution of the amount mentioned on the invoice.
2. Under special circumstances, and in case of an open course, Meereffect B.V. is allowed to change the course location.
3. Cancelling or rescheduling a course by either a participant or an organisation is possible free of charge not later than a month before the start of the course. After that, between one month up to 1 week before the start of the course, 50% of the costs will be charged. In case of cancellation within only 1 week before a course starts, we will charge 90% of the course fee. In case of an open course, at all times it is possible to be replaced by a colleague. If a participant does not appear at all, the full course fee is due.
4. If due to circumstances outside the sphere of influence of Meereffect B.V. the planned on-location course cannot take place but can be given and followed online, Meereffect B.V. can convert the on-location course to an online course.
5. Meereffect B.V. reserves the right to reschedule a course in case of force majeure, such as acute illness of the trainer(s).
6. We highly value compliance with our guidelines regarding training location set-up for our incompany courses. Upon arrival our trainer will validate compliance. Should there be any shortcomings, these will be discussed with the designated contact to see if remedies can be put in place prior to the start of the training. Should this not be feasible, we are forced to cancel the training. In this case we will invoice 25% of the total training cost as reimbursement.
7. Within a couple of days after registration or after returning a signed offer Meereffect B.V. will send an invoice. The full amount mentioned on the invoice must be paid within 14 days, and in any case before the start of the course. When payment is late, the course may be postponed to another date. In case of an open course, Meereffect B.V. is also free to reschedule the training for the participant when payment is delayed. If your organization uses other payment conditions that cannot be deviated from, we will charge an additional fee of 250 euros excluding vat per invoiced training.
8. Without given reason, Meereffect B.V. is allowed to cancel a registration. In that case the costs will be fully refunded.
9. All judicial and extrajudicial costs arising from non-payment are at the expense of the client/participant. Extrajudicial costs amounts to 15% of the outstanding claim.
10. After registration, Meereffect B.V. is entitled to use the client’s logo for marketing purposes; this is restricted only to usage on pages with other customers logos.
11. It is not allowed to record the training or to distribute any recordings thereof. If this is infringed, Meereffect B.V. expressly reserves the right to take measures against both the offender and the organization for which the offender works.
12. By registering or by signing the present offer, the participant and (possibly) the client indicate that they accept these conditions. The general conditions and terms of delivery mentioned above constitute the legal relationship between the client/participant and Meereffect B.V., unless explicitly agreed otherwise.
13. Dutch law applies to all agreements.
